End User License Agreement

This End User License Agreement (“EULA”) licenses the HandOut software from Texpedite, LLC to you. It is in addition to the Terms of Service. If there is a conflict about how the hosted Service is provided, the Terms of Service control. If there is a conflict about the software license itself, this EULA controls.
1. License
Subject to this EULA and the Terms, HandOut grants you a limited, non-exclusive, non-transferable, revocable license to use the HandOut web application, progressive web app, and any desktop or mobile client we provide, solely to access the Service for your internal professional use (or your organization’s).
2. What you may not do
Except as allowed by mandatory law, you may not:
- Copy, modify, or create derivative works of the software.
- Reverse engineer, decompile, or attempt to extract source code.
- Rent, sublicense, or provide the software as a competing service.
- Remove proprietary notices or circumvent license, billing, or security controls.
- Use the software on a device you do not control, except a guest device joining a session you were invited to.
3. Ownership
HandOut and its licensors own the software, branding, and documentation. Customer Content remains yours, as described in the Terms. Open-source components are licensed under their own notices.
4. Updates
We may push updates, including security patches and a service worker refresh of the web app. Some updates are required to keep using the Service. You authorize us to deliver those updates.
5. Guest use
If you join a live session without an account, this EULA still applies to the client software running in your browser for that session. You may use it only to participate in that session.
6. Term
This license lasts while your account (or guest session) is active and in good standing. It ends when the Terms terminate or we disable the client. Sections that should survive (ownership, disclaimers, liability limits) survive.
7. Disclaimers and liability
The software is provided “as is.” Disclaimers and liability limits in the Terms of Service apply to this EULA to the maximum extent permitted by law. This EULA is governed by the laws of the State of North Carolina and the United States, as set out in the Terms.
